MitoQ health professional terms and conditions

B2B Addendum

If you purchase the MitoQ products (the “Products”) direct from MitoQ in order to resell the Products to consumers as an authorized reseller (“Authorized Reseller”), the following additional terms and conditions apply (the “B2B Addendum”), in addition to the Online Terms and Conditions of Sale:

1. Each Authorized Reseller is authorized to purchase up to 20 units of the Products via the Site (volumes above these will need to be approved by MitoQ via customerservice@mitoq.com and will be subject to further terms and conditions as provided by MitoQ at that time);
   
   

2. Each Authorized Reseller may only sell the Products within the territory in which their business is registered (the “Territory”);
   
   

3. Each Authorized Reseller agrees that they will not resell the Products via ecommerce marketplaces (including but not limited to; Amazon, eBay or AliExpress) without explicit prior written consent of MitoQ;
   
   

4. Each Authorized Reseller understands that they may not alter, repackage, modify, deface or represent that the Products are their own products;
   
   

5. Each Authorized Reseller agrees to market, advertise, promote and sell the Products in the Territory in a manner that reflects favorably at all times on the Products and the good name, goodwill and reputation of MitoQ and consistent with good business practice;
   
   

6. Each Authorized Reseller agrees not to make any materially misleading or untrue statements concerning MitoQ or the Products, including any product disparagement or "bait-and-switch" practices;
   
   

7. Each Authorized Reseller agrees to promptly notify MitoQ of any complaint or adverse claim about any of the Products or its use of which the Authorized Reseller becomes aware;
   
   

8. Each Authorized Reseller will pass through any applicable Product terms, including the Online Terms and Conditions of Sale, to each end user of the Products; and
   
   

9. Each Authorized Reseller shall indemnify, defend and hold MitoQ harmless against any loss, damage or costs (including reasonable attorneys' fees) in connection with any claims, demands, suits, or proceedings for any and all actions, whether negligent or not, in violation of this B2B Addendum and more, generally, in the effort to resell the Products
